Agency T&C

This Agency Agreement (“Agreement"), is entered into as of registration date ("Effective Date"), by and between the parent/guardian (“Parent”) of the child model (“Model”) and R-TEN Models Ltd (“R-Ten” or the “Company”) incorporated in England and Wales with Company number 13493779, having its registered office at Flat 177 Scotney Gardens St. Peters Street, Maidstone, England, ME16 0GT regarding the agency and representation activities described herein (the "Representation Services" or “Services”).

1.APPOINTMENT

                 1.1.         For the Term of this Agreement, the Parent hereby appoints R-Ten to represent the Model in any and all forms of representation regarding modeling, contracts, photoshoots, shows, campaigns, websites, social media, and any other business matters (“Creative Fields”) related to the Models modeling career and organise bookings and placements (“Bookings”) for the Model.

                 1.2.         By allowing R-Ten limited power of attorney, R-Ten will conduct agreements on behalf of the Model as well as provide signatures on any contracts and legal documents on behalf of said Model.

 2.EXCLUSIVITY

                 2.1.         This Agreement is formed on a non-exclusive basis. R-Ten shall be free to work with other models within the Creative fields and the Model shall be free to work with other agencies or companies providing similar services to those provided by the Company.

                 2.2.         2.2. Parents are requested to provide details of other agencies within the Creative Fields with whom the Model works to R-Ten on completing an Application Form.

3.APPLICATION PROCESS

                 3.1.         Acceptance of individuals as Models of the Company will be subject to a successful application process.

                 3.2.         The parent/guardian of the Model will need to complete an application form (“Application form”) online at  www.r-tenkids.com/becomeamodeland submit the completed application to R-Ten at the following address hello@r-tenkids.com along with two (2) high quality, professional photographs.

                 3.3.         Each application will be assessed against the R-Ten acceptance criteria and acceptance or rejection will be communicated to the parent/guardian within Two weeks of receipt of a completed application.

 

4.TERM

                 4.1.         This Agreement shall have a term (“Term”) of 12 months from the Effective Date. Either party may terminate this agreement on no less than 5 day’s written notice to the other.

                 4.2.         If notice of termination is received after a Booking has been arranged, the Parent agrees to honour that Booking or else reimburse the Company  for any and all costs incurred or revenue forfeited (including such revenue which may be owing to a client due to incurred expenses as a result of cancellation).

                 4.3.         In the absence of termination notice, this agreement shall continue to be renewed from year-to year on the anniversary date.

                 4.4.         This agreement shall be binding upon both parties, The admin fee is £51 per year. This can be paid via BACS transfer to R-TEN Models Ltd. This admin fee is non-refundable.

 

 

5.MODELS RESPONSIBILITIES

                 5.1.         The Parent agrees to refer all direct enquiries concerning the Model’s services within the Creative Fields to the Company.

                 5.2.         The Parent agrees to provide the Company with current photographs, comp cards, and tear  sheets/advertising written or other related material for promotional use by the Company.

                 5.3.         R-Ten shall be entitled to twenty five to thirty percent (25-30%) (“Commission”) (exact amount to be determined between the parties) of all monies, fees or other contributions received by the Model, directly or indirectly for any and all work undertaken in the Creative Fields as a direct result of the Services provided by the Company, during the Term.

                 5.4.         The Parent hereby grants to the Company a limited Power of Attorney to collect all fees and monies earned or accruing to the Model from all sources  governed by this Agreement and to remit to the Model the net fee (“Model Fees”) after deducting the Commission.  This limited Power of Attorney includes the right of the Company to deposit the proceeds in a general account prior to remitting the balance to the Model.

                 5.5.         The Parent agrees on behalf of the Model to instruct clients, producers,  advertising agencies and/or union office, on all Bookings to send all fees and monies due to the Model directly to  the Company.

                 5.6.         The Model and their parents/guardians will at all times conduct themselves with dignity and will do nothing considered morally deficient or unlawful during the Term of this Agreement. The Model further agrees to abide by all rules and regulations put into place by the Company.

                 5.7.         The Model and their Parent shall turn up to all Bookings on time. If a Model cancels or does not attend a Booking, the Parent shall be responsible for any costs incurred or revenue forfeited (including such revenue which may be owing to a client due to incurred expenses  as a result of Model’s cancellation).

                 5.8.         The Company may, upon  five (5) days’ notice to Model terminate this agreement for breach of this paragraph.

 

6.PAYMENT

                 6.1.         Any Fees shall be paid to the Model/Parent within 10 working days of receipt of cleared funds from the client with whom the Booking was made.

 

7.MISCELLANEOUS

                 7.1.         R-Ten may publicise that it is the personal manager for and represents the Model.

                 7.2.         It is understood and agreed that the Model is in business for himself/herself and is solely responsible  for payment of any and all taxes that may be payable by the Model, whether income, or otherwise.

                 7.3.         The Company shall act as a representation agency only, and does not operate as an employment agency. A Parent must at all times remain with the Model and is responsible for their safety and supervision. Parents and guardians are asked to withdraw the Model from any situation in which they or their child feels unsafe  and contact the agency immediately.

                 7.4.         Any charges accrued as a result of travelling to or from a client’s venue will be the responsibility of the Parent.  

                 7.5.         All model’s photos and materials posted, promoted, posted social media and shared with public  will remain in place and will not be removed after termination of this agreement by either parties.

                 7.6.         The Company may, upon five (5) days’ notice to Model terminate this agreement if Model’s marketing  material does not meet industry standards.

 

8.INTELLECTUAL PROPERTY

                 8.1.         The Company retains the right to use and distribute and allow or license others to make use of and  distribute Model’s name, portrait and pictures in connection with the matters covered by this  Agreement.
